Terms of Service

1. Introduction & Acceptance of Terms

Welcome to Vong Nganthinh ("Platform", "we", "us", or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Vong Nganthinh, operating under the legal framework applicable in the United Kingdom. By registering an account, accessing our web interface, connecting application programming interfaces (APIs), or using our algorithmic automation tools, you explicitly acknowledge that you have read, understood, and agreed to be bound by these Terms.

If you do not agree to these Terms in their entirety, you must immediately discontinue your access to and use of the platform and related services.

2. Eligibility & Account Registration

To register and maintain an active profile on Vong Nganthinh, you must satisfy the following criteria:

  • You are at least 18 years of age or the age of legal majority in your domestic jurisdiction.
  • You have the legal authority and capacity to enter into an enforceable contract.
  • You are not a resident of, or located in, any jurisdiction subject to comprehensive trade sanctions or designated restricted territory.
  • You will provide complete, accurate, and current information during registration and complete identity verification procedures as required by anti-money laundering (AML) and know-your-customer (KYC) standards.

You are solely responsible for safeguarding the credentials associated with your account, including passwords, two-factor authentication keys, and connected exchange API secrets.

3. Nature of the Service & Technological Scope

Vong Nganthinh provides algorithmic execution utilities, quantitative market analysis software, and automated order-routing scripts. We do not act as a custodian of your digital assets, a retail bank, a broker-dealer, or a registered financial advisor. All trades orchestrated through the Platform execute directly through third-party cryptographic exchanges connected via your private API keys.

Our algorithms operate strictly in accordance with programmatic logic and pre-configured market indicators. Vong Nganthinh cannot guarantee that programmatic orders will execute at specific prices or without latency, slippage, or exchange network interruptions.

4. User Obligations & Prohibited Conduct

When interacting with the Platform, you expressly agree not to:

  • Violate any applicable statutory law, regulation, or market practice within the United Kingdom or other relevant jurisdictions.
  • Deploy manipulative strategies, spoofing, wash trading, or abusive transactional volumes aimed at destabilizing liquidity pools.
  • Reverse-engineer, decompile, duplicate, or extract proprietary algorithms, machine-learning weights, or source code.
  • Introduce malicious software, scrapers, automated spiders, or high-concurrency requests designed to impair infrastructure integrity.
  • Facilitate transactions linked to illicit narcotics, ransomware, sanctions evasion, or unlawful financing activities.

5. Intellectual Property Rights

All intellectual property rights in and to the Platform—including but not limited to algorithmic logic, user interface designs, visual layouts, trademarks, database structures, and documentation—are the exclusive property of Vong Nganthinh or our licensors. Subject to your strict compliance with these Terms, we grant you a personal, revocable, non-exclusive, non-transferable, and non-sublicensable licence to access and utilise the Platform for your internal trading activities.

6. Fees, Billing & Subscription Terms

Access to designated algorithmic tiers and high-frequency analytical modules may require payment of software licence fees or profit-sharing metrics agreed upon during onboarding. All fee schedules are quoted in major fiat currencies or approved digital units. Fees paid are non-refundable unless required otherwise by mandatory statutory consumer protection laws.

7. Disclaimers of Warranties

The Platform and all associated utilities are provided on an "as is" and "as available" basis without warranties of any kind, whether express, statutory, or implied. Vong Nganthinh specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, uptime, accuracy, and non-infringement. We do not warrant that our algorithmic systems will generate net positive returns or remain entirely uninterrupted.

8. Limitation of Liability

To the maximum extent permitted under applicable law, Vong Nganthinh, its directors, employees, and software architects shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including loss of profits, capital depletion, blockchain network fees, loss of goodwill, or data corruption arising from your use of the Platform.

9. Indemnification

You agree to defend, indemnify, and hold harmless Vong Nganthinh and its operational affiliates from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable legal fees) resulting from your breach of these Terms, your misuse of the software, or your violation of third-party rights.

10. Governing Law & Dispute Resolution

These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. Any controversy or dispute shall first be addressed through good-faith mutual negotiations. If unresolved within thirty (30) business days, the dispute shall be submitted to the competent courts of England and Wales.

11. Amendments & Termination

We reserve the right to amend or update these Terms periodically to reflect legislative modifications, architectural improvements, or regulatory updates. Continued engagement with the Platform after publication of revised Terms signifies acceptance. We reserve the unilateral right to suspend or terminate accounts that breach these provisions.
